1. Acceptance of Terms
By accessing or using TeamOutings ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
TeamOutings is a platform that enables organizations to plan, coordinate, and manage team events and outings. The Service includes features for event creation, polling, RSVP management, photo sharing, and team communication.
3. User Accounts
3.1 Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3.3 Account Types
-**Individual Users**: Personal accounts for participating in team events-**Organization Administrators**: Accounts with elevated privileges to manage organization settings, members, and events
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws- Upload, post, or transmit any content that is offensive, harmful, threatening, abusive, or otherwise objectionable- Impersonate any person or entity or misrepresent your affiliation with any person or entity- Interfere with or disrupt the Service or servers or networks connected to the Service- Attempt to gain unauthorized access to any portion of the Service or any other systems or networks- Use the Service to send spam, chain letters, or other unsolicited communications- Collect or store personal data about other users without their consent- Use automated scripts, bots, or other means to access the Service without our express permission
5. User Content
5.1 Ownership
You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant TeamOutings a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.
5.2 Responsibility
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to post the User Content.
5.3 Content Removal
We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.
6. Intellectual Property
The Service and its original content, features, and functionality are owned by TeamOutings and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
7. Subscription and Payments
7.1 Pricing
Some features of the Service require a paid subscription. Pricing and features for each subscription tier are available on our website.
7.2 Billing
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your designated payment method for all fees incurred.
7.3 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial billing periods.
7.4 Price Changes
We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Third-Party Services
The Service may contain links to or integrations with third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party services.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:- The Service will be uninterrupted, timely, secure, or error-free- The results obtained from the Service will be accurate or reliable- Any errors in the Service will be corrected
11. Limitation of Liability
IN NO EVENT SHALL TEAMOUTINGS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use the Service- Any conduct or content of any third party on the Service- Any content obtained from the Service- Unauthorized access, use, or alteration of your transmissions or content
12. Indemnification
You agree to defend, indemnify, and hold harmless TeamOutings and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, United States, without regard to its conflict of law provisions.
15. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
